Paralegal (FT – Temporary, approx. 12 weeks)

Title:                   Paralegal, Business and Legal Affairs
Reports To:       General Counsel
Position Overview 
Reporting directly to the General Counsel, the Paralegal, Business and Legal Affairs plays an integral role in ensuring the effectiveness and productivity of the legal department,  including but not limited to: providing support and management in all aspects of the day-to-day running of the legal department, initial drafts and redlines of legal documents, contracts, and general correspondence, carrying out legal research, maintaining the company’s board records, corporate records and corporate status in the states of its operations.
Responsibilities include:
  • Preparing initial drafts and redlined redrafts of exhibitor agreements and amendments, contract summaries, event cinema agreements, consulting agreements, employment agreements, service agreements, software license agreements, data agreements, SaaS agreements, promotional video agreements, settlement agreements, NDAs, legal response letters and other legal documents
  • Running “knock-out” searches for potential trademark usage at the Patent and Trademark Office website, reviewing and summarizing results for executives
  • Anticipating, preparing and filing documents to comply with state and local regulations
  • Preparing ASCAP, SESAC and BMI quarterly payment reports and arranging payment
  • Managing the company’s annual insurance renewal process working in conjunction with HR department
  • Obtaining certificates of insurance for various vendors as requested
  • Ensuring the company is registered to do business, annual reports are timely filed, taxes are paid, and agent relationships are maintained in all the states of its operations
  • Maintaining company’s board minute books and data sheets
  • Tracking and reconciling legal bills with accounting department, following-up with law firms and other vendors
  • Submitting general counsel’s expenses as needed
  • Due diligence document responses in connection with mergers and acquisitions
  • Responding to and resolving issues with advertising insertion orders
  • Working through bankruptcy procedures, knowledge of bankruptcy practices
  • Overseeing collections, small claims court actions and settlements
  • Participating in, coordinating and/or managing legal projects
  • Creating PowerPoint presentations
  • Proficient in Excel and Adobe
  • Providing support to the General Counsel and other department heads
Qualifications include:         
  • 3-5+ years’ experience working as a corporate paralegal
  • Bachelor’s degree and paralegal diploma or certificate
  • Knowledge of and experience in litigation practices and procedures
  • Experience in entertainment and/or advertising industries, familiarity with the major players, particularly in film exhibition a plus
  • Understanding of the rights clearances required and technology (hardware and software) used to create, distribute and broadcast content and other intellectual property
  • Understanding of operations in an advertising or media company
  • Experience working in social media, new technologies or research a plus
  • Strong attention to detail with a proven ability to multi-task, accomplishing numerous tasks in an effective and timely manner
  • Sound judgment, maturity, and the ability to handle sensitive and confidential information with discretion
  • Superb interpersonal, written, and verbal communication skills
  • A strong work ethic with a willingness to be flexible and engaged to get the job done
